Parties

This agreement is made between TripShare Rewards (sharetrip.site), Israel (the "Platform" or "TripShare") and — (filled in at registration) (the "Partner" or "Property"), a — (filled in at registration), registration no. — (filled in at registration), at — (filled in at registration), — (filled in at registration), — (filled in at registration), represented by — (filled in at registration).

It covers the property "— (filled in at registration)" (HOTEL) and every additional property registered on the Platform in the Partner's name or on its behalf.

1. Definitions

"Platform" – the website sharetrip.site, the app and the online tools of TripShare through which travelers publish recommendations and book directly with partners.

"Property Information" – everything the Partner provides for display on the Platform: descriptions, photos, facilities, room/ticket types, rates (including all applicable taxes), availability, cancellation and no-show policies and other conditions.

"Guest" – a visitor of the Platform or a customer who books with the Partner through it.

"Booking" – a reservation of a room, ticket, table or service created through the Platform and confirmed by the Partner (or confirmed automatically where the Partner enabled instant booking).

"Booking Price" – the total amount the Guest pays the Partner for the Booking, including taxes and extras chosen before check-in.

"Partner Portal" – the online system in which the Partner manages Property Information, rates, availability and bookings.

2. Partner obligations

2.1 The Partner warrants that Property Information is true, accurate, up to date and not misleading, and will keep it current in the Partner Portal, including availability, rates, renovations and exceptional events.

2.2 Rates shown on the Platform include all taxes and charges required by law, unless configured otherwise in the property settings and clearly shown to the Guest before booking.

2.3 The Partner honours every confirmed Booking on the conditions shown to the Guest at the time of booking and charges the Guest no fees that were not shown in the booking confirmation.

2.4 The Partner checks booking requests in the Portal at least daily and accepts or declines them within 24 hours. Unanswered requests expire.

2.5 Complaints and requests relating to the Partner's service are handled by the Partner. The Platform may, at its discretion, mediate between the parties.

2.6 In case of overbooking or inability to honour a confirmed Booking, the Partner informs the Guest and the Platform immediately and provides, at its own cost, an alternative of equal or better standard or a full refund.

3. Direct-booking model

3.1 A Booking through the Platform creates a direct contract between the Partner and the Guest. TripShare is not a party to that contract, does not sell the service and is not liable for its performance.

3.2 The Guest pays the Booking Price directly to the Partner under the payment and cancellation policy the Partner configured in the Portal. The Platform does not collect payment from the Guest on the Partner's behalf unless agreed in writing.

3.3 The Platform passes the booking details (names, dates, party size, special requests, contact details) to the Partner and provides a direct Guest–Partner chat after confirmation, with a copy kept by the Platform for support and dispute resolution.

4. Referral commission

4.1 For every Booking that actually took place (the Guest stayed, attended or received the service), the Partner pays the Platform a referral commission of 9% of the Booking Price (the "Commission").

4.2 The Commission equals: number of nights (or units/tickets) × price per unit as shown to the Guest (including taxes and extras chosen before check-in) × number of units booked × the Commission rate.

4.3 No Commission is due on Bookings cancelled free of charge under the Partner's cancellation policy, nor on declined requests. Where the Partner charges the Guest for a cancellation or no-show, Commission is due on the amount charged.

4.4 The Partner reports no-shows, cancellations and amount changes in the Partner Portal within 48 hours of the scheduled check-out date. Absent a report, the Booking is deemed fully performed.

4.5 Part of the Commission is passed by the Platform to the traveler whose recommendation led to the Booking under the TripShare referral programme. Settling with the traveler is solely the Platform's responsibility.

5. Statements and payment

5.1 At the start of each month the Platform makes an online statement available in the Portal listing the Bookings whose check-out fell in the previous month and the resulting Commission.

5.2 The Partner pays the Commission within 14 days of the statement date by bank transfer to the account indicated by the Platform or another agreed method. Bank charges are borne by the Partner.

5.3 The Partner is responsible for all taxes applicable to the Commission by law, including withholding and reporting, and provides certificates on request. A tax invoice is issued to the Partner for the Commission.

5.4 Objections to a statement must be raised in writing within 14 days of its publication. The undisputed part is paid when due.

5.5 On late payment the Platform may charge statutory interest, suspend the property's listing and/or require reasonable security to continue.

6. Ranking, reviews and marketing

6.1 The order in which properties appear is set automatically from traveler scores, guest reviews, availability, information quality and service metrics (response time, acceptance rate, cancellations). The Partner has no right to a particular position.

6.2 The Platform may let Guests who booked publish a review. Reviews belong to the Platform and are displayed under its review policy. The Partner may reply through the Portal.

6.3 The Partner grants the Platform a non-exclusive, royalty-free licence to use Property Information, its name, logo and photos to display, promote and translate the property on the Platform and its marketing channels for the term of this agreement.

6.4 The Partner may advertise itself as a "TripShare direct partner" and use promotional material the Platform provides, in line with its brand guidelines.

7. Privacy and data security

7.1 Each party processes Guest personal data in line with the Israeli Protection of Privacy Law 5741-1981 and its regulations, the GDPR where applicable, and any other relevant law. The Partner uses Guest details only to perform the Booking and provide the service.

7.2 The Partner sends no marketing to Guests based on details received from the Platform without their explicit consent and shares Guest details with no third party except as needed to perform the Booking.

7.3 The Partner applies reasonable security measures to protect Guest details and notifies the Platform without delay, and at most within 48 hours, of any security incident or data breach involving Guests referred by the Platform.

8. Representations and warranties

8.1 The Partner represents that it runs a lawful business, holds every licence, permit and insurance required to operate the property and provide the service, and will show them to the Platform on first request.

8.2 The Partner represents that the signatory is authorised to sign on behalf of the legal entity and that the registration details are true and complete.

8.3 The Platform may verify any detail provided and may suspend or remove a property subject to repeated complaints, misleading information or a breach of law.

9. Liability and indemnity

9.1 The Partner indemnifies the Platform against any claim, damage, cost or fine arising from its breach of this agreement, incorrect information it provided, infringement of third-party rights or the service it provides to Guests.

9.2 The Platform provides the service "as is" and does not guarantee any volume of Bookings. The Platform is not liable for indirect or consequential loss or loss of profit.

9.3 The Platform's total liability to the Partner on any ground is limited to the Commission the Partner paid the Platform in the 12 months before the event.

10. Term, termination and suspension

10.1 This agreement takes effect when signed by the Partner and the property is approved by the Platform team, and runs for an indefinite period.

10.2 Either party may terminate with 30 days' written notice. Bookings confirmed before termination are honoured in full and their Commission is paid.

10.3 The Platform may suspend or terminate immediately in case of material breach, non-payment, misleading information, harm to Guests or to the Platform's reputation, or the Partner's insolvency.

10.4 Sections 4, 5, 7, 9, 11 and 12 survive termination.

11. Confidentiality

11.1 Each party keeps the terms of this agreement, booking data, revenue data and any business information received from the other party confidential and discloses them to no third party except as required by law or to perform this agreement.

11.2 The Platform may publish aggregated, anonymous data (for example the number of bookings in an area) for marketing and research.

12. General

12.1 This agreement, together with the Platform's terms of use and privacy policy as updated from time to time (published in the Partner Portal 30 days before taking effect), is the entire agreement between the parties.

12.2 The Partner may not assign this agreement without the Platform's written consent. The Platform may assign it to an affiliate or to a buyer of its business on notice to the Partner.

12.3 This agreement is governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction.

12.4 The parties agree that an electronic signature on this agreement through the Platform (a drawn signature, a checkbox confirmation and the recording of IP address, time and the signed-in user) is binding for all purposes. A signed copy is e-mailed to the Partner and kept in the Portal.
